These Terms & Conditions ("Terms") govern your access to and use of the website www.primepointconsultingservices.com and the consulting services provided by Prime Point Consulting Services FZC ("we", "us", "our", or the "Company").

We are a consulting firm specializing in the following services (collectively, "Services"):

2. Scope of Our Services

We act as a facilitator and consultant only. We assist with the preparation and submission of documents, coordination with relevant authorities, and providing guidance based on publicly available information and our experience.

Important Limitations:

We do not guarantee approval of any application (business license, visa, bank account, tax registration, etc.), as final decisions rest solely with the relevant UAE government authorities, banks, or third parties.
Success depends on the accuracy and completeness of information and documents you provide, as well as compliance with current laws and regulations (which may change without notice).
Our Services do not include legal, financial, tax, or immigration advice. For such advice, you should consult qualified licensed professionals.
Any timelines we mention are estimates only and not binding.

You are responsible for ensuring that your intended business activities are lawful in the UAE and that you meet all eligibility criteria.

3. User Obligations and Representations

By using our Services, you represent and warrant that:

You are at least 18 years old and have the legal capacity to enter into these Terms.
All information and documents you provide are true, accurate, complete, and up-to-date.
You will not use our Services for any unlawful, fraudulent, or prohibited purpose.
You will comply with all applicable UAE laws, including anti-money laundering, counter-terrorism financing, and data protection regulations.
You will promptly notify us of any changes in the information provided.

You agree not to engage in any activity that could damage our reputation or interfere with our operations.

4. Fees and Payment

Fees for our Services will be clearly stated in a separate proposal, quotation, service agreement, or invoice.
All fees are quoted in UAE Dirhams (AED) and are exclusive of VAT (unless stated otherwise).
Payment terms are as specified in the invoice (usually full or partial payment in advance).
We reserve the right to suspend or terminate Services if payments are not received on time.
Fees are generally non-refundable once Services have commenced, except as expressly stated in a specific service agreement or where required by UAE Consumer Protection Law. Refunds (if any) will be at our sole discretion and subject to deduction of incurred costs and administrative fees.

We are not responsible for any third-party fees (government fees, bank charges, attestation costs, medical tests, etc.), which you must pay directly or reimburse us for.

5. Third-Party Involvement and No Guarantee

Our Services often require interaction with third parties, including:

UAQ Free Zone Authorities
Banks and financial institutions
Immigration/ GDRFA or relevant visa authorities
Federal Tax Authority (FTA)
Real estate agents, travel agencies, warehousing providers, etc.

We are not liable for any delays, rejections, additional requirements, or actions/inactions by these third parties. You agree to be bound by the terms and conditions of such third parties.

6. Intellectual Property

All content on our website (text, logos, images, documents, templates, etc.) is owned by us or our licensors and protected by UAE and international intellectual property laws. You may not copy, reproduce, modify, or distribute any content without our prior written consent. Any reports, templates, or materials we prepare for you remain our intellectual property until full payment is received, and you are granted a limited, non-exclusive license for your internal use only.

7. Confidentiality

Both parties agree to keep confidential any non-public information disclosed during the engagement, except where disclosure is required by law or to perform the Services.

8. Limitation of Liability

To the maximum extent permitted by UAE law:

We are not liable for any indirect, consequential, incidental, or punitive damages (including loss of profit, business opportunity, or data).
Our total liability to you shall not exceed the total fees paid by you to us for the specific Service giving rise to the claim.
We are not responsible for any losses arising from your reliance on our general guidance, changes in law, or third-party decisions.

Nothing in these Terms excludes or limits our liability for death, personal injury, or fraud caused by our gross negligence or willful misconduct.

9. Indemnity

You agree to indemnify, defend, and hold us harmless from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

Your breach of these Terms or any applicable law.
Inaccurate or incomplete information you provided.
Your business activities or use of the approved license/visa.

10. Termination

We may terminate or suspend our Services immediately if you breach these Terms, provide false information, or fail to make payments. Upon termination, you remain liable for all outstanding fees and costs incurred up to the termination date.

11. Changes to Services or Terms

We may update these Terms from time to time. The updated version will be posted on our website with the new "Last Updated" date. Continued use of our Services after changes constitutes your acceptance of the new Terms.
We reserve the right to modify, suspend, or discontinue any Service with reasonable notice where possible.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, as applicable in the Emirate of Umm Al Quwain.
Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved amicably. Failing that, disputes shall be subject to the exclusive jurisdiction of the competent courts of Umm Al Quwain, UAE.

13. Miscellaneous

Severability: If any provision is held invalid, the remainder shall continue in full force.
Entire Agreement: These Terms (together with any specific service agreement or invoice) constitute the entire agreement between you and us.
No Waiver: Our failure to enforce any right does not constitute a waiver.
Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control (e.g., government actions, natural disasters, cyber-attacks).
